1. Agreement to Terms
By accessing or using the website, platform, or services provided by Texican Inc. ("Texican," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms apply to all visitors, clients, prospects, and any other individuals or entities who access or use any Texican website, portal, software platform, or professional services.
2. Description of Services
Texican Inc. is a healthcare Revenue Cycle Management (RCM) firm providing the following services:
- RCM Consulting Services — On-site and managed revenue cycle consulting, operational improvement programs, and staff development for healthcare organizations.
- LOAC Platform — A proprietary software platform providing dashboards, performance monitoring, deviation alerts, and data analytics tools for healthcare finance operations.
- Cash Legacy Subscription — A post-engagement software subscription providing ongoing access to LOAC dashboards and monitoring tools.
- Professional Advisory Services — Strategic guidance, benchmarking, process documentation, and related consulting deliverables.
3. Eligibility
Our services are intended for use by businesses and healthcare organizations, and by individuals acting in a professional capacity on behalf of such entities. By using our services, you represent and warrant that you are authorized to enter into binding agreements on behalf of your organization, your use complies with all applicable laws and regulations, and you are not located in a jurisdiction where use of our services is prohibited.
4. Client Agreements and Scope of Work
Use of Texican's professional services is governed by a separately executed Master Services Agreement, Statement of Work, or engagement letter ("Service Agreement"). In the event of a conflict between these Terms and any executed Service Agreement, the Service Agreement shall control with respect to the professional services described therein.
These Terms govern your access to and use of our website, portal, and platform tools in all cases not addressed by a Service Agreement.
5. Accounts and Access
If you are granted access to Texican's investor portal, LOAC platform, or any restricted area of our digital properties, you agree to maintain the confidentiality of your access credentials, not share login credentials with unauthorized parties, notify Texican immediately of any unauthorized access or security breach, and be solely responsible for all activity that occurs under your account.
Texican reserves the right to suspend or terminate access at any time for violation of these Terms or any applicable Service Agreement.
6. Intellectual Property
All content, materials, software, methodologies, frameworks, dashboards, processes, documentation, and proprietary tools made available through Texican's services — including the LOAC platform and all associated deliverables — are the intellectual property of Texican Inc. and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use such materials solely for your internal business purposes during the term of your engagement or subscription. You may not copy, distribute, or publicly display Texican's proprietary materials; reverse engineer any Texican software; use Texican's methodologies to create competing products; or remove any proprietary notices from Texican materials.
7. Confidentiality
In the course of our engagement, Texican and its clients may share non-public, confidential business information. Each party agrees to treat such information as confidential and not to disclose it to third parties without the other party's prior written consent, except as required by law or as necessary to perform the services.
Specific confidentiality obligations are further governed by any Non-Disclosure Agreement or confidentiality provisions in your executed Service Agreement.
8. Healthcare Data and HIPAA
Texican works with healthcare organizations and may access, process, or analyze data related to revenue cycle operations. To the extent that any such data constitutes Protected Health Information ("PHI") as defined under HIPAA:
- Texican operates in compliance with applicable HIPAA requirements.
- Any access to PHI is governed by a separately executed Business Associate Agreement ("BAA").
- Clients are responsible for ensuring that data provided to Texican is shared in compliance with applicable law.
Our website and public-facing digital properties do not collect or process PHI. Do not transmit PHI through general contact forms, email, or any non-secured channel.
9. Disclaimers
Texican's services are provided for business and operational improvement purposes. Nothing in our services constitutes legal, financial, tax, or investment advice. All projections, benchmarks, and financial estimates are provided for illustrative and planning purposes only and do not constitute guarantees of specific results.
Our website and platform are provided on an "as is" and "as available" basis. Texican makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any content or tools made available.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Texican Inc. and its officers, directors, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or loss of data — arising out of or related to your use of our services.
Texican's total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you to Texican in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Texican Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, your violation of any applicable law or regulation, or any data or materials you provide to Texican.
12. Third-Party Links and Integrations
Our website or platform may contain links to third-party websites or integrate with third-party tools and platforms. These links are provided for convenience only. Texican does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party site or service.
13. Modifications to Terms
Texican reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website with a revised "Last Updated" date. Your continued use of our services following such changes constitutes your acceptance of the updated Terms.
14. Termination
Texican may suspend or terminate your access to our website, portal, or platform at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is otherwise harmful to Texican, our clients, or third parties. Provisions that by their nature should survive termination shall survive, including intellectual property, confidentiality, limitation of liability, and indemnification.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
16. Entire Agreement
These Terms, together with any applicable Service Agreement, Business Associate Agreement, and Non-Disclosure Agreement, constitute the entire agreement between you and Texican with respect to the subject matter herein and supersede all prior understandings, negotiations, and agreements.
